Every Wyoming corporation is required to file an annual report each year with the Wyoming Secretary of State. The annual report achieves two goals: the Secretary of State maintains accurate records of your business information and it collects Wyoming’s annual report license tax.
Fee and Filing
In Wyoming, you can file your annual report online. It is fast and simple. The Secretary of State charges a $2 convenience fee for filing online, but you can also print off a paper copy and file by mail.
Annual reports are due on the first day of your corporation’s anniversary month. For example, if you incorporated on October 25, then your annual report would be due on October 1.
The annual report license fee is based upon the value of in-state assets. There is a $.0002 charge per dollar of in-state assets. For all businesses with $250,000 or less (this is most companies) of in-state assets, the fee works out to $50 (or $52 if filed online).
Online filings can be paid with a Visa or MasterCard.
The Secretary of State charges a higher online filing convenience fee if the amount of your tax is greater. See the following chart:

Failure to File Annual Report
It is critical to file your annual report in Wyoming each year. When you fail to file, the Secretary of State’s office will dissolve your corporation after 60 days. If your corporation is administratively dissolved, you will have to revive the corporation in order to continue doing business in the state.
Amend an Annual Report
A Wyoming corporation can file an amendment to its annual report during the year. To do so, you would file an Amended Annual Report for Profit and Nonprofit Corporations Only form. This amendment can make changes to the names and addresses of officers and board of directors and nothing else.
There is a $50 filing fee.
